×LAST MINUTE CONSULTANCY
Premium Staffing Agreement
1️⃣ Scope of Services
The Consultancy agrees to source, screen and refer hospitality professionals including chefs, cooks, stewards, baristas, managers and related staff as per the Employer’s requirement.
Final selection shall remain at the sole discretion of the Employer.
2️⃣ Professional Fee Structure
- The Consultancy fee shall be equivalent to one (1) month gross salary of the selected employee.
- 50% of the fee shall be payable in advance upon candidate confirmation.
- Remaining 50% shall be payable after completion of trial period or within 15 days of joining (whichever is earlier).
- Annual renewal fee (if employee continues after 12 months) shall be 50% of prevailing monthly salary.
All fees are non-refundable.
3️⃣ Non-Circumvention & Direct Hiring Restriction
The Employer agrees not to directly hire, engage, transfer, or negotiate employment with any candidate introduced by the Consultancy without payment of agreed professional fee.
This clause remains valid for 24 months from date of introduction.
Violation shall result in immediate liability to pay full consultancy fee plus legal costs.
4️⃣ Replacement Guarantee
- Replacement guarantee is valid for 12 months from joining date.
- Replacement applies only if employee resigns voluntarily.
- Replacement is subject to:
- Timely salary payments
- Compliance with agreed working conditions
- No breach of increment clause
No refund shall be applicable under any circumstances.
5️⃣ Annual Salary Increment Obligation
- Employer shall provide minimum 10% to 15% salary increment upon completion of one year of continuous service.
- Failure to grant increment shall automatically terminate replacement guarantee benefits.
6️⃣ Working Conditions
- Maximum working hours: 10 hours per day.
- Overtime beyond 10 hours must be compensated separately as mutually agreed.
- Minimum 4 days leave per month must be granted.
Non-compliance voids replacement protection.
7️⃣ Salary & Payment Obligations
- Salary must be paid on time and credited directly to employee’s bank account.
- Any advance given to employee shall be at Employer’s sole risk.
- All payments must be documented and shared with Consultancy if requested.
- In case of exit, salary for days worked must be cleared before replacement is processed.
8️⃣ Employer Responsibility & Indemnity
Employer is solely responsible for:
- Background verification
- Workplace safety
- Legal compliance
- Employee conduct supervision
The Consultancy shall not be liable for theft, misconduct, negligence, operational losses, or disputes arising between Employer and Employee.
Employer agrees to indemnify and hold harmless the Consultancy from any claims, losses, damages or legal actions arising from employment.
9️⃣ Force Majeure
The Consultancy shall not be liable for failure or delay caused by circumstances beyond control including natural calamities, government restrictions, strikes, pandemics, or emergencies.
🔟 Commission Protection Clause
Consultancy commission shall remain payable irrespective of:
- Business losses
- Closure of premises
- Low sales
- Internal disputes
- Staff performance dissatisfaction

In case of breach of agreement by Employer:
- Replacement guarantee shall immediately lapse.
- No commission shall be refunded.
- Consultancy reserves right to initiate legal proceedings.
1️⃣2️⃣ Jurisdiction & Legal Enforcement
Any dispute arising out of this agreement shall be subject to jurisdiction of competent courts where the Consultancy is registered.
